Terms of Service

Please read these Terms of Service ("Terms") carefully before using any Nilalang Software Development Services product or service. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. The Service

Nilalang Software Development Services operates software products including Overdew (invoice automation) and other products built for the Philippine market. We reserve the right to modify, suspend, or discontinue any part of the service at any time.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering. You may not use our services if you are under 18 years of age.

3. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of Philippine law
• Attempt to gain unauthorised access to any part of the service or its infrastructure
• Upload or transmit malicious code, spam, or fraudulent content
• Reverse engineer, decompile, or disassemble any part of the service
• Resell or sublicense the service without written permission

4. Payments and Subscriptions

Paid features are billed in advance on a subscription basis. Payments are processed by Stripe or Xendit. All fees are in Philippine Pesos (PHP) or US Dollars (USD) as displayed at checkout. Subscriptions renew automatically unless cancelled before the renewal date.

Refunds are handled on a case-by-case basis. To request a refund, contact hello@nilalang.io within 7 days of the charge.

5. Intellectual Property

All content, software, and trademarks associated with Nilalang Software Development Services and its products are owned by Nilalang Software Development Services and protected under applicable Philippine and international intellectual property law. You retain ownership of any data you input into our services.

6. Data and Privacy

Your use of our services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We process your personal data in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173).

7. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the maximum extent permitted by Philippine law, Nilalang Software Development Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, even if we have been advised of the possibility of such damages.

9. Termination

We may suspend or terminate your access to the service at our discretion if you violate these Terms. You may cancel your account at any time through your account settings or by contacting us.

10. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the courts of Makati City, Metro Manila.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the service after changes constitutes acceptance of the updated Terms. We will notify you of material changes via email or a notice within the service.
